Legal Agreements

Please read the following agreements carefully. These documents govern your use of the EcoSmart Pool platform, whether you are a pool owner, a service provider, or making payments through our system.

Account deletion can be requested from both the customer panel and the technician panel. After your deletion request is received, your account and personal data are permanently deleted 10 calendar days later, except where the law requires us to keep certain records.

Eco Smart Pool – Master Terms of Service

These Terms of Service ("Terms") are between ECO SMART POOL TECHNOLOGY LLC ("Company", "we", "our") and the user of the Eco Smart Pool application ("User", "you"). By downloading or using the App, you agree to these Terms.

1 Platform Nature

Eco Smart Pool is a technology platform providing IoT-based pool monitoring and data analytics.
The Company does not provide direct pool maintenance, leak detection, or repair services.
All service providers ("Providers") are independent contractors.

2 IoT Device Terms

The Device will belong to the user in exchange for the installation fee.
Users receive the Device under a subscription model with an activation fee ($24.99–54.99) and a minimum 12-month subscription.
Early termination of subscription incurs a Device Recovery Fee ($150).
Users must not reverse engineer, resell, or tamper with the Device.
The Company makes no guarantees regarding uninterrupted service, accuracy, or detection of all issues.

3 Subscription Terms

Silver $24.99/mo Monitoring only

Gold $34.99/mo Monitoring + Discounted Detection

Platinum $54.99/mo Monitoring + Free Annual Detection + Priority Support + Repair Discount

Minimum 12-month commitment applies.
Subscriptions auto-renew unless canceled per Section 3.5.
Users authorize automatic billing.
Cancellation requires advance notice; Device return obligations apply.
Promotional pricing may change upon renewal with prior notice.

4 Marketplace & Escrow Terms

Users may request leak detection or repair services from Providers via the App.
Payments are collected and held in escrow until service completion.
Users may hire third-party contractors outside the App; the Company assumes no liability for external services.

5 Independent Contractor & Provider Rules

Providers are independent contractors, not employees.
Providers must maintain minimum $1,000,000 General Liability Insurance.
Background check verification is required.
Providers are responsible for their own taxes, equipment, and legal compliance.

6 Data & Privacy

Device and App collect operational and personal data.
Data is used to provide analytics and alerts.
The Company processes data in compliance with: GDPR (EU users), CCPA (California users), Texas data breach notification laws.
Users consent to data collection and processing.
Pool owners may request account deletion in the customer panel (Account Settings). When you submit that request, your account and personal data are permanently deleted 10 calendar days after we receive it, except where applicable law requires us to retain certain records (for example tax, accounting, or fraud-prevention).

7 Liability & Indemnification

The Company is not liable for damages resulting from use, errors, or service failures.
Liability Cap: Greater of $300 or fees paid in the last 6 months.
Users release the Company from claims related to the Device, subscriptions, or Marketplace interactions.
Users and Providers indemnify the Company against any claims arising from their actions or misuse of the Device.

8 Dispute Resolution

All disputes shall be resolved via AAA Arbitration.
Users waive class action and jury trials.
Exclusive venue: Montgomery County, Texas.

9 Miscellaneous

Force Majeure applies.
Electronic consent (clickwrap) is binding.
Severability, assignment, and entire agreement clauses included.

10 Clickwrap Acceptance

By scrolling and checking the box "I Agree", the User confirms:

Reading, understanding, and agreeing to all Terms
Consent to subscription billing, Device policies, and data collection
Acknowledgement that the Company is a technology platform

Eco Smart Pool – Service Provider Agreement

Version 1.0 • Effective Date: 03.01.2026

This Service Provider Agreement ("Agreement") is between ECO SMART POOL TECHNOLOGY LLC ("Company") and the independent service provider ("Provider") who accepts these terms by registering and using the Eco Smart Pool App.

1 Independent Contractor Status

Provider is an independent contractor and not an employee of the Company.
Provider is responsible for all taxes, insurance, and legal compliance.
Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

2 Service Obligations

Provider shall respond to leak detection or repair requests submitted via the App.
Services must meet professional standards and comply with applicable laws.
Poor performance or repeated customer complaints may result in account suspension or termination.

3 Insurance & Background Check

Provider must maintain minimum $1,000,000 General Liability Insurance.
Provider authorizes the Company to perform a background check before activation.
Insurance must remain active while providing services.

4 Escrow & Payment

Payments for services are processed via the App's escrow system.
Escrow funds are released to Provider upon service completion.
Company takes 25% commission automatically from each service fee.
Provider acknowledges all fees are processed through the Company platform.

5 Data & Privacy

Provider consents to data collection and monitoring related to service performance.
Confidential user information may only be used for service delivery.
Company processes data in compliance with GDPR, CCPA, and Texas data breach notification laws.
Providers may request account deletion in the technician panel (Settings). When you submit that request, your account and personal data are permanently deleted 10 calendar days after we receive it, except where applicable law requires us to retain certain records.

6 Liability & Indemnification

Provider is solely responsible for damages arising from their services.
Company is not liable for Provider's actions or omissions.
Liability Cap: Greater of $300 or fees paid in the last 6 months.
Provider agrees to indemnify the Company against any claims arising from their acts or omissions.

7 Dispute Resolution

Disputes resolved via AAA Arbitration.
Class action and jury rights waived.
Exclusive venue: Montgomery County, Texas.

8 Miscellaneous

Force Majeure applies.
Electronic consent (clickwrap) is binding.
Severability, assignment, and entire agreement clauses included.

9 Clickwrap Acceptance

By registering and using the App, the Provider confirms full acceptance of this Agreement.

Eco Smart Pool – Payment & Escrow Terms

1 Escrow & Payout

All payments for services booked through the App are collected and held in escrow by the Company.
Escrow funds are released to the Provider upon completion of service.
Disputes or claims by Users may temporarily hold funds.

2 Commission

Company deducts 25% commission from each service fee.
Commission is automatically deducted before Provider payout.

3 Payment Methods

Provider must maintain a valid payout account within the App.

4 Dispute & Refunds

User disputes are handled through the App support process.
Funds may be withheld during dispute investigation.
Refunds to Users are processed per App policies; Provider payout may be adjusted accordingly.

5 Liability & Disclaimer

Company is not responsible for errors, omissions, or damages caused by Providers.
Providers assume full responsibility for their services.
Liability Cap: Greater of $300 or fees paid in the last 6 months.

6 Miscellaneous

Force Majeure applies.
Clickwrap acceptance is legally binding.
Severability, assignment, and entire agreement clauses included.

7 Clickwrap Acceptance

By using the payment features of the App, both Users and Providers confirm their acceptance of these Payment & Escrow Terms.
